03Direct-deeded interests
References to direct-deeded interests describe an intended conveyance of a property interest by an executed and recorded instrument, subject to the final transaction documents, title review, applicable law, and recording requirements. A direct deed does not by itself establish marketable title, guarantee payment, eliminate prior burdens or defects, create operating control, assure liquidity, or determine tax or securities-law treatment.
04Independent diligence and no reliance
Each prospective purchaser is responsible for independently evaluating the property, seller, chain of title, interest type, net revenue or royalty decimal, lease and unit burdens, legal description, operator, wells, production, revenue, deductions, taxes, pricing, valuation, transferability, and transaction structure. 06Operating, commodity, title, and regulatory risk
Oil and gas interests involve material risks, including production decline, depletion, commodity-price volatility, operator decisions, well downtime, curtailment, lease expiration, pooling or unit changes, deductions, taxes, title defects, payment suspense, bankruptcy, regulatory change, and environmental or plugging matters where applicable. Purchasers have no assurance that expected revenue will be received or that invested capital will be recovered.
07Historical results, projections, and yield illustrations
Historical production, revenue, distributions, or pricing does not guarantee future performance. Any estimate, annualization, decline assumption, yield illustration, forecast, return calculation, or projection is hypothetical, depends on assumptions that may not occur, and may change without notice. 08Illiquidity and resale risk
Mineral and royalty interests may be difficult to value or sell, may have no established secondary market, and may require substantial time and expense to transfer. A purchaser may be unable to resell an interest when desired or at the original purchase price. Prospective purchasers should have the financial ability to hold an interest for an indefinite period.

Certain mineral and royalty interests may be considered for use as replacement property, but eligibility is fact-specific. 10Role, compensation, and potential conflicts
Blackridge's role may vary by transaction. Blackridge or an affiliate may act as principal, acquire or own an interest, market or assign contractual rights, resell an interest, retain an ownership interest, or receive a fee, spread, reimbursement, or other compensation. The applicable transaction documents should describe the material structure and compensation. Purchasers should review those matters with independent advisers before closing.
11Definitive documents control
Any preliminary summary, website statement, email, spreadsheet, map, well list, revenue schedule, production schedule, or oral discussion is subject to correction, withdrawal, and the final transaction documents. If preliminary information conflicts with an executed purchase agreement, deed, assignment, settlement statement, title instrument, or other definitive document, the definitive document controls according to its terms.
12Indicative allocation guidance
References to an approximately $150,000 starting allocation are general buyer-qualification guidance only. They are not a fixed minimum, an offer, a promise of available inventory, or a representation that any property can be divided to that amount.
